Important: These terms apply to the website and to orders placed with Top Knits Ltd. A binding obligation arises against Top Knits only once Top Knits has issued a final written quote, the client has accepted it in writing, and the required 50% deposit has been received.
1. Our Services
The website www.topknitsltd.com is operated by Top Knits Ltd, a Mauritius company. The website provides information about our manufacturing and knitwear solutions, the possibility to contact us, request quotations, submit specifications and, where available, use design or estimate tools.
The website and our services are intended for users aged 18 years and above only. By using the website or placing an order, you confirm that you are at least 18 years old and legally capable of entering into a binding contract.
Top Knits operates primarily on a business-to-business basis. We may accept certain business-to-consumer orders in Mauritius. For customers located outside Mauritius, in particular but not limited to the European Union and the United Kingdom, Top Knits sells on a B2B basis only, and the customer confirms that it is acting in the course of business.
Nothing on the website, including price lists, estimate tools, visuals, descriptions or lead times, constitutes a binding offer. Unless expressly stated otherwise in writing, the website content is for information only.
2. Intellectual Property Rights
All content on the website, including text, photographs, product visuals, logos, graphics, layout, software elements, downloadable documents and branding, is owned by or licensed to Top Knits and is protected by applicable intellectual property laws.
You may access and use the website for your own internal business or personal information purposes only. You may not reproduce, aggregate, republish, upload, encode, translate, transmit, distribute, sell, license or otherwise exploit the website content for commercial purposes without Top Knits' prior written permission.
3. User Representations
By using the website, you represent and warrant that:
- all information you provide is true, accurate, current and complete;
- you will maintain the accuracy of such information;
- you are not under 18 years of age;
- you will not use the website for any unlawful, fraudulent or unauthorized purpose;
- if you submit files, logos, brand assets or specifications, you have the rights and permissions necessary to do so.
4. Prohibited Activities
You may not use the website in any manner inconsistent with applicable law or these terms. In particular, you may not:
- copy or scrape content from the website without permission;
- attempt to gain unauthorized access to the website, connected systems, or any user data;
- upload malware, malicious code or any material intended to disrupt the website or its users;
- misrepresent your identity or submit fraudulent enquiries or orders;
- use the website, our content or our brand in a manner that harms Top Knits, our staff, our customers or other users.
5. User Submissions
The website may allow you to send enquiries, upload logos, designs, comments, specifications or other materials to us. You remain responsible for what you submit. You must not submit any material that is unlawful, defamatory, infringing, obscene, confidential without authority, or otherwise improper.
Top Knits is not required to treat unsolicited ideas, comments or suggestions as confidential and may decline to review or use any submission.
6. Submission Licence
Where you submit artwork, specifications, logos or files for the purpose of obtaining a quote, sample or production, you grant Top Knits a non-exclusive licence to use, reproduce, adapt and process those materials strictly to evaluate the request, prepare quotations, create proofs/samples, manufacture, personalise and deliver the relevant order.
You warrant that your submissions do not infringe any third-party rights and that you have full authority to grant the above licence.
7. Services Management
Top Knits reserves the right, but not the obligation, to monitor the website, investigate suspected misuse, remove content or submissions, refuse service, suspend access or take other appropriate steps where reasonably necessary to protect the website, our rights, our staff, our customers or compliance with law.
8. Term and Termination
These terms remain in force while you use the website or otherwise deal with Top Knits in connection with the website. We may suspend or terminate access to the website, reject enquiries or refuse future dealings where there has been misuse, breach of these terms, unlawful conduct, abusive behaviour or material misrepresentation.
9. Modifications and Interruptions
Top Knits may modify, suspend or discontinue any part of the website at any time. We do not guarantee uninterrupted availability. We may experience downtime, maintenance, software issues, third-party service disruption or connectivity problems. We are not liable for temporary unavailability of the website.
10. Governing Law
These terms, the website, and any non-contractual obligations arising out of or in connection with them are governed by the laws of Mauritius.
11. Dispute Resolution
Before starting court proceedings, the parties should first try in good faith to resolve any dispute by written notice and amicable discussions. If a dispute cannot be resolved amicably, it shall be submitted to the competent courts of Mauritius. Arbitration does not apply unless both parties expressly agree otherwise in writing after the dispute has arisen.
12. Corrections
There may occasionally be typographical errors, inaccuracies or omissions on the website, including in descriptions, indicative prices, colours, visuals, lead times or availability. Top Knits reserves the right to correct, update or remove such content at any time without prior notice.
13. Disclaimer
The website and all website content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Top Knits disclaims warranties of any kind, whether express or implied, regarding the completeness, accuracy, reliability, merchantability, fitness for a particular purpose or non-infringement of website content.
Any price list, product designer output, estimate, visual rendering, delivery date, lead time or product description appearing on the website is indicative only. Although Top Knits seeks to keep the website as precise and up to date as possible, final pricing and final timelines may differ depending on complexity, quantity, materials, customisation, approvals, shipping destination, carrier performance, customs processes and other operational variables.
14. Limitations of Liability
To the fullest extent permitted by law, Top Knits shall not be liable for any indirect, incidental, special, punitive or consequential losses, including loss of profit, loss of business, reputational loss, delay loss or data loss arising from use of the website or from reliance on website content.
In relation to orders, Top Knits' total liability, whether in contract, tort or otherwise, shall in all cases be limited to the amount actually paid by the client for the specific order giving rise to the claim, except where liability cannot lawfully be excluded or limited.
15. Indemnification
You agree to indemnify and hold harmless Top Knits, its directors, employees and agents from losses, claims, costs and expenses arising from your breach of these terms, your misuse of the website, or your infringement of any third-party rights, including in relation to artwork, logos, files or specifications submitted by you.
16. User Data
Top Knits may maintain data transmitted through the website for the purpose of managing the performance of the website, enquiries and orders. Although we take reasonable measures, you acknowledge that no online system is completely secure and that backup and retention practices do not create unlimited liability for loss or corruption of data.

17. Electronic Communications, Transactions, and Signatures
By visiting the website, sending emails, using messaging channels, completing online forms, approving proofs or accepting a final quote electronically, you consent to electronic communications. You agree that electronic approvals, emails, messages, quotations, invoices, records and other communications satisfy any legal requirement that such communications be in writing, to the extent permitted by law.
18. Sales-Specific Terms
18.1. Binding Contract Formation
A binding obligation is in force against Top Knits only once Top Knits has sent a final written quote, the client has accepted it in writing, and the client has paid the required 50% deposit. Any prior website estimate, informal message, draft quotation or preliminary discussion is non-binding.
18.2. Pricing and Currency
Unless otherwise expressly agreed in writing, prices are in Mauritian Rupees (MUR). Bank transfer is the standard method of payment. Any price shown on the website is indicative only and may change depending on quantity, material choice, size breakdown, personalization, labels, packaging and production complexity.
18.3. Deposit and Balance
A 50% deposit is required to start production. The balance is payable before dispatch unless the final quote expressly states otherwise. All bank charges, correspondent bank charges and similar transfer costs are borne by the client.
18.4. Minimum Order Quantity
The standard minimum order quantity is 20 pieces unless Top Knits agrees otherwise in writing.
18.5. Lead Times and Delivery Times
Any production lead time or delivery time mentioned on the website or in communications is indicative only, although Top Knits endeavours to match it as precisely as possible. Final timing depends on approvals, order complexity, material availability, production planning, shipping arrangements, customs and events beyond our reasonable control.
18.6. Shipping, Duties and Pickup
Goods are shipped from Mauritius. Unless expressly agreed otherwise in writing, all import duties, VAT, customs clearance fees, destination taxes and similar charges are payable by the client. Where Incoterms apply, the applicable Incoterm (Incoterms® 2020) shall be stated in the final quote or invoice. If no Incoterm is stated, delivery shall be EXW Mauritius (Top Knits premises). In addition to shipping, pickup at the factory is possible at no extra cost from 09:00 to 17:00 on Mondays to Fridays, except public holidays in Mauritius.
18.7. Client Artwork, Approvals and Tolerances
The client is responsible for the legality and accuracy of all artwork, logos, files and specifications supplied. The client must carefully review and approve mockups, proofs, size breakdowns, colours and placements before production. Once approved, changes may result in additional charges and revised timelines.
Because garments are made to order, reasonable manufacturing tolerances apply, including slight colour variations between dye lots, slight measurement tolerances and minor placement variances for print and embroidery.
18.8. Returns, Defects and Claims
As orders are usually custom-made and/or personalised, Top Knits does not accept returns except for defective or materially non-conforming pieces. The client must inspect goods promptly upon receipt and notify claims in writing within 5 business days of delivery, with clear photographs and details.
If a claim is accepted, the remedy shall be determined by Top Knits at its discretion and may include replacement, repair, credit or refund for the affected pieces only.
18.9. Cancellation and Changes
Once production has begun, cancellation may not be possible. If Top Knits accepts a cancellation, the client must pay for all costs already incurred, including materials, labour, setup and work completed. Changes requested after approval may lead to additional cost and time. The client are not entitled to any refunds once production has begun.
